4. SERVICES, PROPOSALS, AND ENGAGEMENTS

4.1 Informational Nature of Website Content

Any information on our Website is provided for general informational purposes and may change without notice. Website descriptions do not constitute a binding offer.

4.2 Engagement and Contract Priority

Specific service delivery (including pricing, project scope, payment terms, timelines, and responsibilities) shall be governed by a signed agreement such as a Service Agreement / Contract, Statement of Work (SOW), Proposal acceptance with confirmation, or Memorandum of Agreement (MOA). If any conflict exists between these Terms and a signed Service Agreement, the Service Agreement will prevail.

5. CLIENT RESPONSIBILITIES

Clients agree to:

  1. Provide accurate information and timely feedback
  2. Provide access credentials, content, logos, or data needed for implementation (if applicable)
  3. Ensure they own or are authorized to use all content provided to C8nnect
  4. Cooperate in testing and acceptance processes
  5. Use Deliverables according to applicable laws and good governance / organizational rules

Delays caused by incomplete requirements or late approvals may impact delivery dates.

6. INTELLECTUAL PROPERTY (IP) RIGHTS

6.1 C8nnect Website and Brand

All Website content, including brand identity, designs, layout, copy, and logos are owned by C8nnect or licensed to us and protected under intellectual property laws. You may not reuse, reproduce, distribute, or modify any part of our Website content without written permission.

6.2 Project Deliverables

Unless otherwise stated in writing, upon full payment, the Client will be granted rights to use the agreed Deliverables for its intended business or government purpose. C8nnect retains ownership of any reusable frameworks, libraries, internal templates, proprietary tools, automation logic patterns, and know-how/engineering methods.

6.3 Portfolio Rights

C8nnect may display non-confidential parts of the project (e.g., system screenshots, website links, general descriptions) for portfolio/marketing purposes unless the Client requests a written NDA or confidentiality restriction.

7. THIRD-PARTY TOOLS AND INTEGRATIONS

Our systems may integrate with third-party services (e.g., hosting providers, SMS gateways, maps, analytics tools, CRM platforms, payment processors, or government systems). C8nnect is not responsible for third-party downtimes, service disruptions, rate changes, API limitations, platform policy changes, or third-party security issues beyond our control. Third-party services remain governed by their own terms.

8. SUPPORT AND MAINTENANCE

Support is provided depending on the agreed engagement terms. Unless explicitly included in your contract, the following are not automatically included: 24/7 support, ongoing changes/enhancements/revisions, new module development, third-party license fees, or data entry/manual data migration beyond the scope.

9. CONFIDENTIALITY

Both parties agree to keep confidential any information marked or reasonably understood as confidential including technical architecture, access credentials, project data/specifications, internal documents, and LGU or business operational data. Confidentiality obligations survive termination of engagement.

10. PRIVACY

Your use of the Website is also governed by our Privacy Policy. For personal data collection through forms, inquiries, recruitment pages, and portals, we aim to follow applicable privacy standards including the Philippine Data Privacy Act of 2012 (RA 10173).

11. DISCLAIMERS

11.1 No Warranty

The Website and Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, C8nnect disclaims all warranties including merchantability, fitness for a particular purpose, non-infringement, uninterrupted access, and error-free operation.

C8nnect may build systems that support LGU operations, business operations, BIR/e-invoicing workflows, and governance procedures. However, we do not provide legal advice unless explicitly contracted.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law, C8nnect shall not be liable for indirect, incidental, special, or consequential damages including lost profits, downtime losses, loss of data due to third-party issues, reputational damages, or missed opportunities. Where liability is determined, total liability shall not exceed the fees paid by the Client in the three (3) months preceding the event giving rise to the claim (unless otherwise required by law or written agreement).

13. TERMINATION

We reserve the right to restrict or terminate access to the Website or Services if there is misuse, fraud, abuse, suspected illegal activity, security threats detected, or violation of these Terms. Termination of access does not remove obligations such as payments due or confidentiality requirements.

14. CHANGES TO TERMS

We may update these Terms from time to time. Updated versions will be posted on our Website with a revised "Last Updated" date. Your continued use of the Website after updates constitutes acceptance of the revised Terms.

15. GOVERNING LAW
